Case 06 · Lead investor & interim CEO

OMØ A/S From group ownership to a new ownership group and an independent next chapter

As of 30 September 2026, an investor and management group has acquired OMØ A/S from Ragn-Sells. I have been involved throughout the process as lead investor and active buyer – from LOI, due diligence and business plan to financing, ownership structure and closing.

Background

Founded in 1948, OMØ is a specialised industrial services company with operations in Denmark and in international markets. Among other things, the company delivers highly specialised solutions within industrial cleaning, blasting, vacuuming and services for the energy and process industries.

Since 2015, OMØ had been part of the Ragn-Sells group. In 2026, the company was acquired by a new ownership group consisting of active investors and key people from the company’s management.

The starting point

OMØ was a well-run company with:

  • A strong professional position
  • Specialised know-how and equipment
  • An experienced organisation
  • A solid market position
  • Significant international growth opportunities

At the same time, the company had to be carved out of a larger group and established under new and active ownership. Among other things, this required a new ownership and financing structure, an independent management framework and a clear plan for the company’s next phase of development.

The process

I took part in the process as lead investor and active buyer, including work on:

  • Assessment of the company and the investment case
  • Due diligence
  • Business plan and future strategy
  • Ownership and financing structure
  • Composition of the investor group
  • Governance and board structure
  • Preparation and completion of closing
  • Planning the transition to the new ownership

The transaction was completed on 30 September 2026.

The result

OMØ has passed to a new ownership group combining active ownership, industry experience and strong competencies from the existing organisation.

Following the acquisition, the focus is on:

  • A safe and structured transition
  • Organisational development
  • Strengthening the management and reporting structure
  • Realising the company’s international growth opportunities
  • Long-term and sustainable value creation

My role

  • Lead investor and co-owner
  • Active participant throughout the acquisition and due diligence process
  • Board member of both the holding company and OMØ A/S
  • Interim CEO and registered Managing Director of OMØ A/S
  • Responsible for supporting the transition to the new ownership and the company’s next phase of development

What does the case demonstrate?

The OMØ case shows the role I can take on when a company is in the middle of a change of ownership or another significant transition:

Company acquisition and investment Due diligence and transaction process Active ownership Establishing new governance Interim CEO leadership Organisational development Strategy and value creation Transition from previous to new ownership
“
A change of ownership does not end at closing. It is often the day after that the real work begins. That is why, at OMØ, I have not only invested in the company but also taken on active management responsibility during the transition period.
